Terms of Service

Welcome to Vesti Funding. These Terms of Service ("Terms") govern your access to and use of the Vesti Funding web application, including all associated features, content, and services available at vestifunding.com and prod.vestifunding.com (collectively, the "Platform"). Please read these Terms carefully before using the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, you must immediately discontinue use of the Platform.

2. Description of Services

Vesti Funding provides a cloud-based web application designed for Canadian grant advisors, accountants, financial advisors, and business consultants to manage their practice. Our Platform includes, but is not limited to:

• AI-powered grant matching and discovery tools to identify relevant Canadian funding opportunities
• Client relationship management (CRM) tools for tracking client profiles, communications, and engagement history
• Funding application preparation, tracking, and submission workflow tools
• Dashboard analytics and reporting for monitoring application success rates, revenue, and pipeline metrics
• Document management and secure file storage for grant-related documents
• Team collaboration features including shared workspaces, task assignments, and internal notes
• Notification and alert systems for grant deadlines, status updates, and client activity

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice. We will make reasonable efforts to notify users of material changes via email or in-app notifications.

3. Account Registration and Security

To access the Platform, you must create an account by providing accurate, current, and complete information. You agree to:

• Maintain the confidentiality of your login credentials, including your password and any API keys or access tokens
• Accept responsibility for all activities that occur under your account, whether or not authorized by you
• Notify Vesti Funding immediately at support@vestifunding.com if you suspect any unauthorized access to or use of your account
• Not share your account credentials with any third party or allow multiple individuals to access the Platform through a single account unless your subscription plan explicitly permits it
• Keep your account information up to date, including your email address and billing details

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscription Plans and Payment Terms

Access to the Platform is provided through paid subscription plans. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select, in Canadian Dollars (CAD) unless otherwise stated
• All fees are non-refundable except as expressly set forth in our Refund Policy or as required by applicable Canadian consumer protection laws
• Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date through your account settings
• We may change subscription pricing with at least 30 days' advance notice. Continued use of the Platform after the price change takes effect constitutes acceptance of the new pricing
• Failed payments may result in suspension of access to the Platform. We will attempt to notify you before suspending your account due to payment failure
• Free trial periods, if offered, are limited to one per user or organization. At the end of the trial, your account will convert to a paid subscription unless you cancel

5. Acceptable Use Policy

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws and regulations. You shall not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Platform or any part thereof
• Use automated scripts, bots, crawlers, or scrapers to access the Platform or extract data without express written permission
• Upload, transmit, or store any content that is unlawful, fraudulent, defamatory, harmful, or infringes on the intellectual property rights of others
• Attempt to gain unauthorized access to other user accounts, Platform infrastructure, servers, or databases
• Use the Platform to submit fraudulent grant applications or misrepresent information to funding bodies
• Interfere with or disrupt the integrity, performance, or availability of the Platform, including through denial-of-service attacks or injection of malicious code
• Resell, sublicense, or redistribute access to the Platform without prior written authorization from Vesti Funding

6. User Content and Data

You retain ownership of all data, documents, and content that you upload, submit, or create through the Platform ("User Content"). By using the Platform, you grant Vesti Funding a limited, non-exclusive license to process, store, and display your User Content solely to provide and improve the services. You acknowledge that:

• You are solely responsible for the accuracy, legality, and completeness of all User Content
• Vesti Funding does not verify or validate the information contained in grant applications or client records managed through the Platform
• You may export your User Content at any time through the Platform's data export features
• Upon account termination, your User Content will be retained for 30 days to allow for data export, after which it will be permanently deleted unless retention is required by law

7. Intellectual Property

All content, features, functionality, software, designs, trademarks, and branding associated with the Platform are the exclusive property of Vesti Funding Inc. and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited license to use it in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.

8. Service Availability and Uptime

We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, emergency updates, infrastructure issues, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance windows. Vesti Funding shall not be liable for any loss, damage, or inconvenience arising from Platform downtime.

9. Third-Party Integrations

The Platform may integrate with or link to third-party services, APIs, and applications. These third-party services are governed by their own terms and privacy policies, and Vesti Funding is not responsible for their availability, accuracy, or security. Your use of third-party integrations is at your own risk, and you are responsible for reviewing and complying with the applicable third-party terms.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Vesti Funding specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will meet your specific requirements, that the grant matching results will be accurate or complete, or that any particular funding outcome will be achieved through use of the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Vesti Funding, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform. In no event shall our total aggregate liability exceed the amount you paid to Vesti Funding in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vesti Funding and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription and close your account at any time through your account settings. Cancellation takes effect at the end of the current billing period
• Vesti Funding may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after reasonable notice
• Upon termination, your right to access the Platform ceases immediately. You will have 30 days to export your data before it is permanently deleted

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the rules of the Canadian Arbitration Association. Before initiating arbitration, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent in-app notification at least 15 days before taking effect. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
